1. Acceptance of Terms
By accessing or using NearbyRoofPros.com (the “Site”), you agree to be bound by these Terms of Service (“Terms”). NearbyRoofPros.com is owned and operated by NearbyRoofPros LLC (“Company,” “we,” “us,” or “our”). If you do not agree to these Terms, do not use the Site.
2. Description of Service
NearbyRoofPros.com operates as a marketing and referral service that connects homeowners and property owners (“Users”) with independent roofing contractors (“Service Providers”). We do not perform, supervise, or guarantee any roofing work. We do not employ, endorse, or control any Service Provider. All roofing services are performed exclusively by independent contractors who are solely responsible for the quality, safety, and legality of their work.
3. No Contractor–Client Relationship
By using the Site, you acknowledge and agree that no contractor–client, employer–employee, partnership, joint venture, or agency relationship exists between you and NearbyRoofPros.com. Any agreement for roofing services is entered into solely between you and the independent Service Provider. We are not a party to any such agreement and bear no liability arising from it.
4. User Eligibility
You must be at least 18 years of age and legally capable of entering into binding agreements to use this Site. By submitting a request, you represent and warrant that you are the property owner or have authorization from the property owner to request roofing services for the property identified in your submission.
5. User Submissions and Consent
When you submit information through the Site (including your name, email address, zip code, and project details), you authorize us to share this information with one or more independent Service Providers for the purpose of facilitating contact regarding your roofing needs. You understand that Service Providers may contact you via email, telephone, text message, or other communication methods based on the information you provide.
6. Accuracy of Information
You agree to provide accurate, current, and complete information when submitting a request. We are not responsible for any consequences resulting from inaccurate, outdated, or incomplete information provided by you. We reserve the right to reject or remove any submission that we believe contains false, misleading, or fraudulent information.
7. Disclaimer of Warranties
THE SITE AND ALL CONTENT, MATERIALS, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Site will be available at all times or free from errors; (b) any Service Provider will contact you or provide satisfactory services; (c) Service Providers are licensed, insured, or bonded in your jurisdiction; or (d) the information provided on or through the Site is accurate, complete, or current.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEARBYROOFPROS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY SERVICES PERFORMED BY SERVICE PROVIDERS.
Our total aggregate liability for any claims arising from or related to these Terms or the Site shall not exceed one hundred dollars ($100.00).
9. Indemnification
You agree to defend, indemnify, and hold harmless NearbyRoofPros LLC and its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any dispute between you and a Service Provider.
10. Third-Party Links and Services
The Site may contain links to third-party websites, services, or resources. We do not control and are not responsible for the content, privacy policies, or practices of any third-party sites. Your use of third-party links is at your own risk and subject to the terms and conditions of those sites.
11. Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, icons, images, and software, is the property of NearbyRoofPros LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written consent.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
13. Termination
We reserve the right to suspend or terminate your access to the Site at any time, for any reason, without notice or liability. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to warranty disclaimers, limitation of liability, and indemnification.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. Any disputes arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
16. Entire Agreement
These Terms, together with our Privacy Policy, TCPA Consent Notice, and Referral Disclaimer, constitute the entire agreement between you and NearbyRoofPros LLC regarding the use of the Site and supersede all prior or contemporaneous understandings, agreements, or representations.
